Recherche, LLC v. Baldwin County Electric Membership Corporation
This appeal involved the interpretation of the patronage-refund requirements imposed on electric cooperatives by 37-6-20, Ala. Code 1975. Recherche, LLC, individually and on behalf of all other current and former members of Baldwin County Electric Membership Corporation ("the members"), filed a class-action complaint against Baldwin County Electric Membership Corporation ("Baldwin EMC"), seeking a judgment declaring the rights of the members to a return of "Patronage Capital" or "Capital Credits," which the members asserted were "excess revenues" due to be distributed to the members under the statute. Brooks Davis moved to intervene to represent all former members of Baldwin EMC. Recherche and Davis asserted that Baldwin EMC's method of allocating excess revenues to capital accounts violated section 37-6-20. The trial court dismissed the action, and Recherche and Davis appealed. After review, the Alabama Supreme Court determined Baldwin EMC distributed excess revenues to the members' capital accounts, and because Baldwin EMC's method of distribution did not contravene section 37-6-20, Recherche and Davis's complaint failed to state a claim upon which relief could be granted. Courtyard Manor Homeowners’ Association, Inc. v. City of Pelham
Courtyard Manor Homeowners' Association, Inc. ("Courtyard Manor") appealed dismissal of its complaint against the City of Pelham. In August 2018, Courtyard Manor filed a complaint against the City after the City failed to conduct a hearing or otherwise to respond to Courtyard Manor's petition, filed with the City in September 2017, seeking to be deannexed from the City's municipal limits. Courtyard Manor averred in its complaint the City had agreed to apply its deannexation criteria to the matter, that the City had a duty to set the matter for a hearing, and the City had de facto denied the petition by failing to take any action on it. Courtyard Manor requested that the circuit court conduct a hearing on the petition and enter an order deannexing Courtyard Manor from the City. Alternatively, Courtyard Manor requested that the circuit court order the Pelham City Council to hold a hearing on the petition and to report its decision to the circuit court. The City moved the circuit court to dismiss the complaint for failure to state a claim upon which relief could be granted. The City argued that, in deciding whether to deannex property, a municipal governing body acted in a legislative capacity, a municipal governing body has discretion to determine if and when to deannex property, the governing body's discretion in determining if and when to deannex property was not subject to interference by the courts, the City's governing body had not determined the corporate limits of the City should have been reduced in the manner requested by Courtyard Manor, and that the City had no duty to hold a hearing on Courtyard Manor's petition. The circuit court granted the City's motion to dismiss. Finding no reversible error, the Alabama Supreme Court affirmed dismissal. View "Courtyard Manor Homeowners' Association, Inc. v. Ex parte S. Mark Booth.
S. Mark Booth petitioned the Alabama Supreme Court for a writ of mandamus directing the the trial court to dismiss an action filed against him by the City of Guin. In 2008, Booth and the City entered into a contract entitled "Commercial Development Agreement." The agreement provided that the City would sell Booth approximately 40 acres of real property located in Marion County at a price of $5,000 per acre. Booth, in turn, promised to subdivide the property into lots for commercial development. The agreement included a provision granting the City the right to repurchase the property should Booth fail to develop the land within three years following the execution of the agreement. In 2017, the City sued Booth, asserting a claim for specific performance pursuant to the agreement's repurchase option. The City alleged Booth failed to construct at least one commercial facility on the property within three years from the effective date of the agreement. The City alleged that it had "timely tendered the purchase price to [Booth] and requested a conveyance of the real property described in the contract but [that Booth] refused to accept the tender or to make the conveyance." Booth moved to dismiss, arguing that, although he had fulfilled his obligations under the agreement by developing a hotel on the property, the City's complaint seeking to specifically enforce the repurchase of the property pursuant to its option to repurchase in Section 4.4(b) of the agreement was time-barred by the two-year statutory limitations period for such options in 35-4-76(a), Ala. Code 1975. After review, the Supreme Court granted Booth's petition as to the City's claims for specific performance, and its claims alleging fraud and breach of contact; the trial court was ordered to dismiss those claims. Patel v. Shah
Dahyalal Patel filed an action seeking to enforce his ownership rights as a shareholder in Subway No. 43092, Inc. ("the corporation"), against shareholder Ashish Shah ("Shah"), Shah's father, Ramesh Shah ("Ramesh"); and the corporation (collectively,"the Shah defendants"). In 2007, Shah, the owner of eight Subway restaurants in and around Madison County, Alabama, prepared to open a ninth Subway restaurant in Huntsville ("the restaurant"). In July 2008, Shah formed the corporation for the purposes of owning and operating the restaurant. Shah owned 90 percent of the stock of the corporation and Ramesh owned 10 percent. In 2008, Patel met with Shah about Shah's plan to open the restaurant. At some point, Patel and Shah orally agreed that Patel would purchase a 25 percent ownership interest in the corporation. Because Shah estimated that start-up costs for the restaurant would be $240,000, Patel agreed to purchase a 25 percent interest in the corporation for $60,000, payable in monthly installments. After the restaurant opened in December 2008, Shah began making periodic distributions of profits to Patel. Patel eventually paid back the $60,000, and agreed to pay an additional $12,000 for an additional five percent interest. In September 2012, Patel sued the Shah defendants, alleging that Shah had misrepresented the start-up costs for the restaurant in calculating the price of Patel's 25 percent interest. Patel alleged that the actual start-up costs were $140,000 rather than $240,000, as Shah had represented. Accordingly, Patel alleged that he either overpaid for his interest or acquired more than a 50 percent interest in the corporation. Patel further alleged that the distributions of profits he received were not proportional to his interest, even assuming that his interest was 30 percent. In addition, he claimed that Shah had withheld Patel's share of franchise-sales commissions that the corporation received from its franchisor. The Shah defendants raised a number of defenses, among them, statute of frauds and statute of limitations. The trial court granted the Shaw defendants' motion for summary judgment, effectively dismissing Patel's claims. After review, the Alabama Supreme Court affirmed summary judgment in favor of the Shah defendants on Patel's tort claims, other than conversion, and on Patel's conversion claim insofar as Patel alleged conversion of profits, commissions, and his ownership interest in the corporation. The Court reversed the summary judgment on Patel's breach-of-contract and unjust-enrichment claims and on his conversion claim insofar as Patel alleged the conversion of corporate property. McKenzie v. Janssen Biotech, Inc.
In July 2012, Dr. William Sullivan prescribed Remicade, a medication manufactured by Janssen Biotech, Inc. ("JBI"), to Tim McKenzie as a treatment for Tim's psoriatic arthritis. Tim thereafter received Remicade intravenously every two weeks until November 2014, when he developed severe neuropathy causing significant weakness, the inability to walk without assistance, and the loss of feeling in, and use of, his hands and arms. Although Tim stopped receiving Remicade at that time, he and his wife, Sherrie, alleged they were not told that Remicade was responsible for his injuries. In December 2015, Tim traveled to the Mayo Clinic in Rochester, Minnesota, to receive treatment for his neuropathy. The McKenzies stated that while at the Mayo Clinic, Tim was eventually diagnosed with demyelinating polyneuropathy, and doctors told them that it was likely caused by the Remicade. In 2016, the McKenzies sued JBI and Dr. Sullivan in Alabama Circuit Court, asserting failure-to-warn, negligence, breach-of-warranty, fraud, and loss-of-consortium claims. The complaint filed by the McKenzies was not signed, but it indicated it had been prepared by Sherrie, who was not only a named plaintiff, but also an attorney and active member of the Alabama State Bar. Keith Altman, an attorney from California admitted pro hac vice in November 2017, assisted with the preparation of the complaint. The Alabama Supreme Court found it apparent from even a cursory review of the complaint, that it was copied from a complaint filed in another action. The complaint included numerous factual and legal errors, including an assertion that Tim was dead even though he was alive, and claims invoking the laws of Indiana even though that state had no apparent connection to this litigation. The trial court struck the McKenzies' initial complaint because it was not signed as required by Rule 11(a) and because it contained substantial errors and misstatements of fact and law. The trial court later dismissed the failure-to-warn and negligence claims asserted by the McKenzies in a subsequent amended complaint because that amended complaint was not filed until after the expiration of the two-year statute of limitations applicable to those claims. Because the trial court acted within the discretion granted it by Rule 11(a) when it struck the McKenzies' initial complaint and because the McKenzies did not establish that the applicable statute of limitations should have been tolled, the trial court's order dismissing the McKenzies' claims as untimely was properly entered. Ex parte City of Tuskegee.
The City of Tuskegee ("the City") petitioned the Alabama Supreme Court for a writ of mandamus to direct the trial court to vacate its order denying the City's motion for a summary judgment as to negligent inspection and negligent failure to provide hydrant and/or water pressure claims asserted against it, and to enter a summary judgment for the City as to those claims on the grounds of both substantive immunity and municipal immunity under 11-47-190, Ala. Code 1975. This case arose from the 2012 death of Yvonne Redd ("Yvonne") in a house fire that occurred at a Tuskegee residence. Significant among the allegations brought against the City was that the City’s safety inspector negligently inspected the rental home Yvonne had lived in, particularly with regard to the lack of hard-wired smoke detectors in Yvonne’s rented unit; and negligent inspection of fire hydrants closest to Yvonne’s residence. In its motion for a summary judgment, the City presented evidence: (1) indicating that TFD tested the hydrants in the City annually; (2) when TFD arrived on the scene, the tanks on Engine 1 and Engine 2 were both full of water; (3) the firefighters did not experience any problems with water pressure until the Macedonia fire department hooked its hose up to a hydrant south of the residence; (4) when Macedonia firefighters hooked up to that hydrant, they caused a "water hammer" that blew up the water main that supplied the fire hydrants, which caused a decrease in water pressure; and (5) fire trucks from the Shorter Fire Department and the VA Fire Department resupplied Engine 2 with water and that TFD was able to continuously fight the fire, even after the water-hammer issue. Based on this evidence, the Alabama Supreme Court concluded the City was entitled to substantive immunity from the negligent-inspection claims. Wiggins v. City of Evergreen
The City of Evergreen, Alabama ("the City") terminated the employment of Helen Wiggins, a warrant clerk and magistrate, after the Evergreen City Council ("the Council") accepted the recommendation of the City's mayor that she be dismissed for dereliction of duty. Specifically, the City alleged she failed to perform the duties of her job as a warrant clerk and magistrate on February 16, 2017, when she declined to consider a citizen's application for arrest warrants, instead telling that citizen to return in several hours when another warrant clerk and magistrate would be there. Wiggins thereafter filed a wrongful-termination action against the City. The trial court ultimately entered a judgment in favor of the City and against Wiggins. She appealed that judgment. Because there was evidence in the record that supported the City's decision, the Alabama Supreme Court held the trial court properly entered a judgment in favor of the City. View "Wiggins v. Zieman v. Zieman Speegle, LLC
Jerome Speegle and Anthony Hoffman, two members of Zieman Speegle, LLC, a law firm based in Mobile, petitioned for approval of dissolution of the firm. Thomas Zieman, Jr., previously a member of the law firm, appeared in the action, asserting a counterclaim against the law firm and a third-party complaint against Speegle and Hoffman. Without holding a hearing, the trial court entered a summary judgment on Zieman's counterclaim and third-party complaint in favor of the law firm, Speegle, and Hoffman. The trial court also identified the equity-holding members of the law firm and provided for the distribution of the assets of the law firm. Because the Alabama Supreme Court held the trial court should have held a hearing, it reversed the trial court's judgment and remanded the case for further proceedings. View "Zieman v. Imperial Aluminum, LLC v. Taylor
Tyler Taylor injured his right index finger while in the line and scope of employment with Imperial Aluminum-Scottsboro, LLC ("Imperial"). The issue this case presented for the Alabama Supreme Court's review centered on whether the defendant-employer engaged in third-party spoliation of evidence that would have been essential to the plaintiff's products-liability claim against the company. After review, the Supreme Court affirmed the trial court, finding Imperial culpable for negligent spoliation of evidence, and affirmed the award of compensatory damages to Taylor. Ex parte KKE, LLC
Ronny Sanders and his employer KKE, LLC, sought to transfer a wrongful-death case filed against them in Bibb County, Alabama to Chilton County, where the automobile accident giving rise to the case occurred. KKE was a trucking company with its principal place of business in Bibb County. In 2016, Sanders, a Bibb County resident, was driving a logging truck owned by KKE eastbound on U.S. Highway 82 in Chilton County when the truck collided with a westbound vehicle being driven by Destini Davis. Davis and her three passengers, Londyn Rivers, Tarlanda Davenport, and Makiyah Davenport, were killed in the collision. After the trial court denied Sanders and KKE's motion to transfer the action from Bibb County to Chilton County, they petitioned the Alabama Supreme Court for a writ of mandamus, arguing that the transfer was required by section 6-3-21.1, Ala. Code 1975, the forum non conveniens statute. The Supreme Court concluded Sanders and KKE did not establish that Chilton County was a significantly more convenient forum than Bibb County or that Bibb County's connection to the action was weak. Because they did not establish a clear legal right to the transfer they seek, Sanders and KKE were not entitled to mandamus relief. View "Ex parte KKE, LLC" on Justia Law
