Auto Owners Insurance, Inc. v. Blackmon Insurance Agency, Inc.
Auto Owners Insurance, Inc. (Auto Owners) appealed a circuit court's denial of its motion to dismiss or, in the alternative, to compel arbitration in an action against it filed by Blackmon Insurance Agency, Inc. Blackmon and Auto Owners entered into an "agency agreement" authorizing Blackmon to act as an agent for the sale of Auto Owners' insurance in Alabama (the 1995 agreement). A 2005 document entitled "Letter of Instructions" was alleged to be an independent document from the 1995 agreement. Auto Owners contended that the 2005 document was contemplated by and incorporated into the 1995 agreement. The 2005 document contained instructions governing the issuance of a variety of bonds by an agency of Auto Owners. In late 2010, Blackmon filed a complaint in the circuit court seeking a declaratory judgment as to the arbitrability of a dispute between Blackmon and Auto Owners as to which Auto Owners had already initiated arbitration proceedings in its home state of Michigan. Blackmon also alleged that in the Michigan arbitration proceeding Auto Owners based its claims on the 2005 document and a 2009 agreement. Upon review of the matter, the Alabama Supreme Court concluded that the circuit court erred in denying Auto Owners' motion to compel arbitration. The Court therefore reversed that order and remanded the case for the circuit court to grant the motion to compel arbitration and either issue a stay of these proceedings pending arbitration or dismiss the case. Aurora Healthcare, Inc. v. Ramsey
Aurora Healthcare, Inc., Aurora Cares, LLC, (d/b/a Tara Cares) and Birmingham Nursing and Rehabilitation Center East, LLC appealed a circuit court order that denied their motion to compel arbitration. Mary Pettway, then 75 years old, was discharged from the hospital at the University of Alabama at Birmingham and admitted to a nursing home in Birmingham owned and operated by the defendants. She was returned to the hospital and then readmitted to the nursing home twice in the weeks following her initial discharge. Upon Pettway's first readmission, an arbitration agreement was executed, along with the other admission documents, on her behalf. Pettway was finally returned to the hospital, where she died on December 10, 2003. Sharon Ramsey, in her capacity as administratrix of Pettway's estate, filed a complaint against the defendants. The complaint asserted a variety of statutory and common-law claims allegedly arising from Pettway's death, including a wrongful-death claim. The defendants filed a motion to dismiss or for a change of venue. The parties litigated the issue of venue vigorously until the Wilcox Circuit Court entered an order transferring the case to the Jefferson Circuit Court. The "Aurora" defendants filed a motion to dismiss on the ground that they did not own the nursing home at which Pettway resided during the relevant period. Because the Supreme Court concluded that there was insufficient evidence in the record to support a determination that Ramsey was substantially prejudiced by defendants' belated assertion of their right to arbitration, "the order of the circuit court denying the defendants' motion to compel arbitration must be reversed. We are unable to determine, however, whether this case is due to be arbitrated." Accordingly, the Court reversed the circuit court's order denying the defendants' motion to compel arbitration. The Court remanded the case for that court to consider the motion to compel arbitration in light of the issues associated with the validity and scope of the arbitration agreement proffered by the defendants. Allsopp v. Bolding
Timothy C. Allsopp appealed a trial court's denial of his motion for relief from a judgment entered in favor of James and Kisha Bolding. The Boldings sued Naysa Realty and Investments, LLC, Deleana Davis, Keller-Williams Realty Co., and Allsopp. The Boldings alleged breach of fiduciary duty, and three counts of fraud arising out of real-estate transactions in Madison County. Davis was a principal in Naysa Realty and was employed by Keller-Williams as a real-estate agent. Davis advised the Boldings, who were purchasing property, to give Allsopp power of attorney to sign certain closing documents on their behalf. A default judgment was entered against Allsopp, with leave for the Boldings to prove damages against him later. Allsopp argued on appeal that the evidence against him was insufficient to support the judgment against him. Upon review, the Supreme Court found the evidence sufficient to support the trial court's decision and affirmed the judgment in the Boldings' favor. View "Allsopp v. Bolding" on Justia Law
Thomas v. Sloan Homes, LLC
Sammy Thomas and Pam Thomas appealed the Blount Circuit Court's order granting a motion to compel arbitration filed by Sloan Homes, LLC ("Sloan Homes"), David Sloan, and Teresa Sloan in the Thomases' action alleging breach of contract and tortious conduct in relation to the construction of a house by Sloan Homes, the grantor under the residential sales agreement. The question presented by this appeal was whether, under the doctrine of merger, the execution and delivery of the deed in this case nullified an arbitration clause included in the antecedent residential sales agreement. Upon review, the Supreme Court found that the arbitration clause was still valid, thereby affirming the circuit court's order granting Sloan Homes and the Sloans' motion to compel arbitration of the Thomases' claims. Don Drennen Motor Co.,Inc. v. William B. McClung
Don Drennen Motor Co., Inc. ("Drennen"), an automobile dealership, appealed a Jefferson Circuit Court order requiring it to pay the costs of arbitration stemming from an action filed by one of Drennen's former employees, William B. McClung. Upon review, the Supreme Court found that the circuit court's decision "is due to be reversed insofar as it orders Drennen to pay the entire costs of arbitration." The arbitration agreement provided that the parties must "share equally the costs, fees and expenses incurred by arbitration." The Court remanded the case for further proceedings. Alabama Title Loans, Inc. v. White
Alabama Title Loans, Inc., Accurate Adjustments, LLC and Kevin Sanders all appealed a trial court order that denied their motions to compel arbitration filed against them by Plaintiff Kimberly White. In 2009, Ms. White borrowed money from Alabama Title Loans (ATL), securing the loan with an interest in her automobile. ATL required Ms. White to surrender the title to the automobile. The title-loan agreement contained an arbitration clause. Ms. White subsequently paid off her loan and borrowed more money against her car several more times. In August 2009, Ms. White said she went to ATL ready to pay off her loan in full. In January 2010, ALT contracted with Accurate Adjustments to conduct a "self-help" repossession of Ms. White's automobile. The police were called, and Accurate and ATL were required to release the automobile when it could not produce the title they claimed gave them the right to repossess. Ms. White filed suit alleging multiple theories: assault and battery, negligence, wantonness, trespass, wrongful repossession and conversion. At trial, the court denied the title-loan parties' motion to compel arbitration without making any findings of fact. Based on the broad language of the arbitration clause in the title-loan agreements executed by Ms. White, the Supreme Court held that the trial court should have granted the title-loan parties' motions to compel arbitration. The Court reversed the trial court's decision and remanded the case for further proceedings.
